73 Intended Outcome Shareholders are able to participate, engage the board and senior management effectively and make informed voting decisions at General Meetings. Practice 12.3 Listed companies with a large number of shareholders or which have meetings in remote locations should leverage technology to facilitate–  including voting in absentia; and  remote shareholders’ participation at General Meetings. Application : Departure. Explanation on application of the practice : All BHB’s general meetings are held in prominent location within Klang Valley. The venues chosen were easily accessible as it was familiar to most shareholders. However, the Company will continue to observe developments in respect of new technologies to facilitate the conduct of meetings remotely and may consider to adopt the same in the future if it is cost effective and practical. Explanation for departure : BHB has yet to facilitate voting in absentia and remote shareholders’ participation at general meetings. As an alternative, shareholders who are unable to attend general meetings are entitled to appoint any person(s) or the Chairman of the meeting to vote on their behalf at the general meeting, Large companies are required to complete the columns below.
